Terms of Service

Who we are.

CreditMark.io is operated by CreditMark LLC ("CreditMark," "we," "us"), New York, New York. These Terms of Service ("Terms") govern your use of creditmark.io, lender.creditmark.io, and the CreditMark APIs and services (together, the "Service"). By creating an account or using the Service you agree to these Terms on your own behalf and on behalf of the business or institution you represent, and you confirm you have authority to do so.

What the Service is.

CreditMark lets a business compute a credit credential from its own financial information — a 0–100 score plus a Momentum signal — and share that credential with lenders it chooses. Lender accounts receive credentials that businesses share with them, together with standardized analysis tools.

What the Service is not.

CreditMark is a commercial decision-support tool. CreditMark is not a consumer reporting agency, and nothing in the Service is a "consumer report" under the Fair Credit Reporting Act. CreditMark does not make, arrange, or guarantee loans, does not provide financial, legal, or investment advice, and does not make credit decisions. Any decision to extend or deny credit, and all regulatory obligations connected to that decision, remain solely with the lender.

Your data and your attestation.

Credentials are computed from information you provide. When you submit financial statements, bank statements, or manually entered figures, you attest that they are true, complete, and accurate records of your business. CreditMark does not audit your inputs; a credential is only as accurate as the information behind it. We may decline, suspend, or withdraw credentials derived from information we reasonably believe to be false or misleading.

Credentials and sharing.

A credential is a snapshot: it reflects the information submitted at the time it was computed and is not updated until you create a new one. You control sharing. Share links can be revoked by you at any time; revocation is permanent for that link. Lenders you have shared with may retain copies of what they lawfully received while the share was active.

Accounts.

Keep your login credentials confidential and current. You are responsible for activity under your account. Business accounts must be operated by an owner or authorized administrator of the business; lender accounts by authorized personnel of the institution.

Acceptable use.

You agree not to: misrepresent your identity or business; submit information belonging to another business without authority; attempt to reverse-engineer, scrape, or extract CreditMark's scoring methodology, band thresholds, or calibration data; probe, disrupt, or overload the Service; or use the Service in violation of applicable law, including fair-lending law.

Fees.

Current pilot-program use may be offered free or at discounted rates. Standard pricing, when it applies, will be presented before you incur charges. Fees are non-refundable except where required by law.

Intellectual property.

CreditMark owns the Service, including its software, scoring methodology, reason-code system, designs, and trademarks (CREDITMARK, application filed, Cl. 036). You own the business information you submit. You grant CreditMark a license to process that information to operate the Service — to compute credentials, display them to those you authorize, and maintain and improve the Service, including improving scoring calibration in de-identified, aggregated form.

Disclaimers.

The Service is provided "as is" and "as available." CreditMark makes no warranty that a credential will result in credit approval, that the Service will be uninterrupted or error-free, or that any score, signal, or reason code is suitable for any particular purpose.

Limitation of liability.

To the maximum extent permitted by law, CreditMark's total liability arising out of the Service will not exceed the greater of the amounts you paid CreditMark in the twelve months before the claim or one hundred U.S. dollars ($100). CreditMark is not liable for indirect, incidental, consequential, or punitive damages, or for decisions any lender makes or declines to make.

Indemnification.

You will indemnify CreditMark against claims arising from information you submitted, your breach of these Terms, or your violation of law.

Termination.

You may close your account at any time. We may suspend or terminate accounts that violate these Terms. Sections 3, 9, 10, 11, 12, and 14 survive termination.

Governing law.

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in New York County, New York, and you consent to their jurisdiction.

Changes.

We may update these Terms; material changes will be posted on this page with an updated date, and continued use of the Service constitutes acceptance.
